Carmen is a Senior Associate in the Corporate Finance & Securities practice at Zaid Ibrahim & Co. (a member of ZICO Law).
She advised on corporate transactions involving local and cross-border mergers and acquisitions, compliance with securities and financial regulations such as the Capital Markets and Service Act 2007, the Bursa Malaysia Securities Berhad Main Market Listing Requirements and Ace Market Listing Requirements, as well as the Financial Services Act 2013 and Islamic Financial Services Act 2013. She has also assisted with liaising with regulatory bodies such as Bank Negara Malaysia, Securities Commission and other government ministries.
In addition to the above, she has advised several major Malaysian listed financial groups on their successful restructuring and listing transfers from the investment holding company to the main retail banking arm, which included amongst others, rights issue, regulatory approvals to be obtained from local and foreign regulatory bodies, capital reduction and obtaining vesting orders from the High Court of Malaya.
She has experience in diverse business sectors such as education, financial, money services business, logistics, advertising and manufacturing. Her work exposure includes drafting, reviewing and amending Share Sale Agreements, Shareholders’ Agreements, Underwriting Agreements, Distribution Agreements, Novation Agreements, etc.
Carmen has also had the opportunity to take on a full-time secondment of 4 months (May 2018 – August 2018) to the Legal & Governance Department of one of Zaid Ibrahim & Co.’s major clients, Digi Telecommunications. She reported directly to the Head of Legal & Governance of Digi Telecommunications. During her secondment at Digi Telecommunications, she assisted with drafting and reviewing of commercial agreements, including various collaboration, partnership, sponsorship and joint marketing agreements with amongst others Amazon, Spotify, Great Eastern, VIVO, Puma and UNICEF.
Carmen joined the firm as a Trainee Associate in 2012 under the firm’s structured Trainee Associate Programme. Upon completion of her pupillage, Carmen was retained as an Associate in the Corporate Finance and Securities department in the end of 2013. She was promoted to Senior Associate 2 in 2017, and thereafter, Senior Associate 1 in 2019. Carmen then joined SokSiphana & Associates under the firm’s regional secondment programme starting from 1 March 2019.
